Resolution:Auditor selection

Whereas the Audit Committee has conducted interviews of accounting firms to perform the Foundation's audit and has selected a firm which they are recommending to the Board for approval;

It is hereby resolved that:

The accounting firm, (name removed), shall be retained by the Foundation to:

1. Prepare an audit of the Foundation from inception to 30-Jun-05
2. Prepare an audit of the Foundation for the fiscal year ending 30-Jun-2006
3. Prepare tax returns
4. Optionally, prepare quarterly reviews of financial statements
