Whereas the Foundation is in need of effective direction to manage its daily operations,

It is hereby resolved that:

• The Board agrees to hire Sue Gardner as Management Consultant under the agreement Sue_Agreement.pdf with job description GARDNER Wikimedia Consultant JD DRAFT v5.pdf
• The Board delegates the authority to sign the agreement to Michael Davis.
