Resolutions Inviting visitors to a Board of Trustees meeting (2015) Feedback?
This resolution was approved by the Board of Trustees on November 7, 2015.

Resolved, after consultation with the Board of Trustees, the Chair may invite visitors to a meeting of the Board of Trustees. Visitors may include staff, experts, or other guests to assist the Board as needed, including providing advice on pending issues or governance considerations, or as otherwise considered appropriate by the Chair.

Visitors must treat conversations with the same confidentiality as the rest of the Board, and such visitors should be excused from the meeting when discussing issues appropriate only for Board consideration, such as discussions with the General Counsel under the attorney-client privilege. Visitors may only serve in an advisory capacity and may not participate in any Board vote.

This resolution is effective as of November 7, 2015. This resolution replaces the previous resolution on Board Visitors (June 2012).
